AI Terms

These Athennian AI Terms (“AI Terms”) apply to your access to and use of Athennian AI (as defined herein). The AI
Terms supplement and form a part of any agreement between you or your organization (collectively, “you” or
“your” or “Customer”) and Paper Interactive, Inc. dba Athennian (“Athennian”, “we”, “our”, or “us”), that governs
your use of the Services, such as the Service Terms available in the Legal Terms Portal (“Services Agreement”).
Capitalized terms used but not defined in these AI Terms have the meaning set forth in the Services Agreement, as
applicable. The AI Terms are subject to the Services Agreement, including the provisions of the Service Agreement
that limit the liability of Athennian, its Affiliates, and other persons. Athennian may amend these AI Terms from
time to time by posting a revised version to the Legal Terms Portal. Athennian will endeavour to provide
reasonable advance notice of material amendments. Continued use of Athennian AI following any amendment
constitutes acceptance of the amended AI Terms.

1. Definitions
   “Athennian AI” means the features and functionality of the Services made available to Customer by Athennian
   that use artificial intelligence and/or machine learning (“AI/ML”), as further described in the AI
   Documentation.
   “AI Documentation” means the technical and functional documentation for Athennian AI made available by
   Athennian in the Athennian Help Center, as updated from time to time.
   “Input” means any prompt, data, text, or other similar content submitted by Customer or its Users to the
   Services to be processed by Athennian AI.
   “Model Providers” means the third-party providers of the technologies, including large language models and
   other AI models, used by Athennian to power Athennian AI, such as Google (Gemini), Amazon (Bedrock), and
   other providers as detailed under Athennian’s Sub-Processor List (available at:
   https://www.athennian.com/legal-terms-portal/sub-processor-list), as updated from time to time.
   “Output” means any data, text or similar content generated by Athennian AI and returned to Customer or its
   User, as applicable, based on Input.
   
2. Ownership. As between the parties and to the extent permitted by applicable law, Customer retains all right,
   title, and interest in Input and Output, subject to the terms of your Services Agreement. For the avoidance of
   doubt, Input and Output constitute Customer Data for the purposes of the Services Agreement.
3. License to Process. In addition to any rights granted under the Services Agreement, Customer grantsAthennian a limited, non-exclusive licence to access and process Inputs and Outputs to the extent necessary to provide Athennian AI and fulfil its obligations under the AI Terms and the Services Agreement.
   
4. AI Limitations; Disclaimer. Athennian AI uses AI/ML, which generates predictions based on patterns in data.Athennian AI and Output for accuracy and suitability for Customer’s use case(s). Athennian makes no warranty regarding the accuracy, completeness, or reliability of Output.
   
   Customer acknowledges the probabilistic nature of AI/ML, and Customer is responsible for evaluating
5. Customer Obligations.
   
   a. Human oversight. Customer is responsible for applying appropriate human review and judgment
   to all Output prior to use or reliance, having regard to the nature and intended application of the
   Output.
   
   b. Accurate representation. Neither Customer nor its Users may represent that Output was human-
   generated.
6. Input Content. Customer is solely responsible for the content of all Inputs and warrants that submitting Inputs
   to Athennian AI will not violate applicable law or infringe the intellectual property, privacy, or other rights of
   any third party.
7. Athennian AI Governance. Athennian maintains internal governance practices applicable to Athennian AI,
   including periodic evaluations and testing to assess the quality and reliability of AI-generated output.
   Athennian will comply with applicable laws and regulations governing its provision of Athennian AI as part of
   the Services.
8. Model Providers. Athennian AI is powered in part by Model Providers. You acknowledge that your Input and
   Output will be processed by our Model Providers to enable your use of Athennian AI. Athennian will ensure
   that Model Providers it engages are subject to confidentiality and data security obligations with respect to
   Customer Data that are no less protective than those set out in your Services Agreement.
9. No Training. Athennian does not use, and does not permit Model Providers to use, Customer Data to train any
   artificial intelligence or machine learning models.
